On May 17, 2002, the Board
of Directors of Rayonier Inc., upon the recommendation of the Audit Committee, appointed Deloitte & Touche LLP as the Companys independent accountants. On May 22, 2002, such appointment became effective. Deloitte & Touche LLP will also
serve as the independent accountant for the Rayonier Investment and Savings Plan for Salaried Employees (the Plan) financial statements beginning with the Plan year ended December 31, 2001. Deloitte & Touche LLP replaces Arthur
Andersen LLP (Andersen) as independent accountants for the Plan.
Since March 15, 2002, the Company had discussions with
Deloitte & Touche LLP regarding the possibility of engagement as the Plans new independent accountants. These discussions did not include any of the issues outlined in Item 304(a)(2) of Regulation S-K and did not affect any of the
Plans past or future treatment of any accounting, auditing or financial reporting issue.
Andersens reports on the
Plans financial statements for each of the years ended December 31, 2000 and 1999 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the years ended December 31, 2000 and 1999 and through the date of this filing, there were no disagreements with Andersen on any
matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement, if not resolved to the satisfaction of Andersen, would have caused them to make reference to the subject matter of the
disagreement in connection with their report on the Plan.
None of the reportable events described under Item 304 (a) (1) (v) of
Regulation S-K occurred within the Plans two most recent fiscal years and the subsequent interim period through May 23, 2002.
The
Company provided Andersen with a copy of the above disclosures. Attached as Exhibit 16 is a copy of Andersens letter, dated May 23, 2002, stating its agreement with such statements.
